1. Acceptance of Terms
By accessing or using DigiAucta, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the service. These Terms apply to all visitors, users, and others who access or use the marketplace.
2. Description of Service
DigiAucta is a platform facilitating the auction, sale, and transfer of digital AI assets (including but not limited to Micro SaaS applications, AI Models, APIs, and datasets) between independent buyers and sellers. We provide the marketplace software and escrow payment solutions via third-party providers (Stripe) but do not claim ownership over the assets listed.
3. User Accounts
When creating an account, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms. You are responsible for safeguarding your account password and authentication credentials.
4. Buying and Selling
- Sellers: You must have the legal right to sell and transfer the digital asset you are listing. Assets must accurately match their description over text or demo URLs. Submitting malicious software, breached data, or misrepresented features may result in immediate account termination.
- Buyers (Auctions): Bids placed on an auction (including automated Proxy Bids) are globally binding. If you win an auction, you are legally obligated to complete the transaction and pay the final amount through our secure Stripe gateway.
- Buyers (Storefront): For Fixed-Price items, payment is processed instantly upfront via Stripe Checkout.
- Escrow & Delivery: Upon payment, funds are securely held in Escrow. If the asset is configured for instant delivery, you will receive a secure expiring download link immediately. You then have a predefined Inspection Period to review the asset.
- Disputes: If the digital asset is defective or not as described, you must raise a Dispute before the Inspection Period expires. Our Admin team will review the dispute history and their decision to refund you or release funds to the seller is final.
5. Prohibited Activities
You may not use the service to:
- Sell illegal, malicious, or harmful AI models or datasets.
- Engage in fraudulent activities or bid manipulation.
- Attempt to bypass the platform's payment systems to conduct transactions off-site.
6. Limitation of Liability
In no event shall DigiAucta, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the service or the transactions conducted between users on the platform.
